"Customer Data" means all Content uploaded, recorded, or processed through the Services by or on behalf of you.
"Documentation" means our user guides, help documentation, and other materials we provide regarding the Services.
"Services" means Contented's AI-powered conversation intelligence platform, including the web application, desktop application, mobile applications, and all related features and functionalities.
"User" or "you" means the individual or entity using the Services.
2. Acceptance of Terms

Contented provides an AI-powered conversation intelligence platform designed to transcribe, analyse, and generate insights from professional conversations.
The Services allow users to record and upload audio and video conversations, process them using AI, and generate structured outputs like transcripts, summaries, and insights. The platform also includes features for secure storage and management of conversation data.

- Provides secure storage and management of conversation data
- Records system audio and microphone audio simultaneously via the desktop application, capturing both sides of conversations conducted on your device.

- Natural language processing for content analysis and creation

4. Eligibility and Account Registration

- Be at least 18 years of age

- Maintain the confidentiality of your account credentials
- Be responsible for all activities under your account

- The accuracy and legality of all Content you provide
- Obtaining necessary consents for recording conversations
- Ensuring compliance with applicable privacy laws
- Reviewing and verifying AI-generated outputs before use
5.3 Prohibited Content
You may not upload or create Content that:
- Violates any applicable laws or regulations
- Infringes on third-party intellectual property rights
- Contains malicious code or harmful content
- Violates privacy rights of individuals
- Is defamatory, harassing, or abusive
IMPORTANT: While we maintain and create robust AI systems, AI-generated content can contain inaccuracies. You must review all generated content for accuracy before using it for any purpose. We are not responsible for decisions made based on AI-generated outputs.
6. Acceptable Use Policy
6.1 Permitted Uses
You may use the Services for legitimate business and professional purposes, for example:
- Recording and analysing business meetings
- Creating marketing and communication materials
- Conducting research and analysis
- Managing recruitment processes

You may not:

7. Privacy and Data Protection

7.2 Data Processing Agreement
For enterprise customers, we may enter into separate Data Processing Agreements that supplement these Terms regarding data protection obligations.

By using the Services, you consent to the transfer of your data to New Zealand, Australia, the United States, and other countries where our service providers operate, in accordance with our Privacy Policy.
8. Intellectual Property Rights

- Our proprietary AI models and algorithms
- Templates, prompts, and methodologies
- Trademarks, logos, and branding materials

You retain ownership of your Customer Data. AI-generated outputs based on your Content remain your property, subject to our underlying intellectual property rights in the platform.

We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term, subject to these Terms.
8.4 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide about the Services may be used by us without restriction or compensation to you.
9. Subscription Plans and Payment Terms

9.2 Payment Terms
- Subscription fees are charged in advance on a monthly or annual basis
- All fees are non-refundable except as expressly stated
- You authorise us to charge your payment method for applicable fees

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 AI Technology Disclaimers
- AI-generated content may contain errors or inaccuracies
- We do not guarantee the accuracy of transcriptions or outputs
- You are responsible for reviewing and verifying all AI-generated content
- AI performance may vary based on audio quality and other factors
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12.4 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
13. Indemnification
You agree to indemnify, defend, and hold harmless Contented and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your Customer Data or Content
14. Termination
14.1 Termination by You
You may terminate your account at any time by following the instructions in the Services or contacting us.
14.2 Termination by Us
We may suspend or terminate your access to the Services:
- For violation of these Terms
- For non-payment of fees
- If required by law or regulation
- For any reason with 30 days' notice

Upon termination:
- Your access to the Services will cease
- You may export your Customer Data for a limited time
- We will delete your data according to our data retention policies
- Outstanding fees remain due and payable

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
